By working with Vhoox and renting inventory supplies to run campaigns with our platform, you consent to these terms. In these Terms and Conditions, Privacy Statement, Disclaimer Notice, and other Agreements, "Client," "You," and "Your" refer to you, the person who logged on to this website and complies with the terms and conditions of the company. The terms "The Company," "Ourselves," "We," "Our," and "Us" all refer to our business. "Us," "Party," or "Parties" might refer to either the client or ourselves. According to and subject to the applicable laws, all terms refer to the offer, acceptance, and consideration of the money required to carry out the process of our assistance to the client in the most suitable way for the specific purpose of meeting the client's needs with regard to the provision of the company's stated services.
CAMPAIGNS - Campaign is used to describe the advertising work that Vhoox's brand clients run using Vhoox platform for their marketing and branding purposes. CLIENTS - Are the brands/companies/organizations/individual person approaching and working with Vhoox to utilize our marketing services for their brand/product promotions. INVENTORY - Refers to digital advertising spaces or other media resources that the Partner makes available for campaign execution. MARKETING/PROMOTIONAL MATERIALS - The material provided by the brand/client/companies related to the promotions they execute with Vhoox. May be created/generated by Vhoox as well in cenrtain cases where client says us to do. CREATIVE - Part of the marketing material includes Text, banner, videos to support the campaign marketing. PARTNERS - The vendors/affiliate/inventory suppliers (e.g. JioHotstar, SamasungAds, TCL, Xiaomi TV, aha tv, MXplayer, DV360 etc.) helping Vhoox to successfully execute brand campaigns. CTV - Connected TV or CTV is a type of promotional method use to advertise brand campaigns digitally over smart TVs and other Streaming devices. OTT - Over-the-top or OTT is another form of digital advertising to promote brand and products to a larger customers pool. AUDIO ADS - Audio Advertising or AudioAds is another form of advertising where brands want to caputre the Radio, musical applications (Spotify, JioSaavn, Airtel Wynk, POS machines etc.) for their brand/product promotions.
By entering to the terms and condition agreement, you consent to leasing your inventory supply so that you can run campaigns using Vhoox platform. You accept and agree to make sure that your inventory satisfies the established requirements needed to carry out the campaign. You will make your stock available in line with the timetables and requirements that have been established for every campaign. The performance and integrity of your inventory are your responsibility, and you must make sure that it conforms with all relevant rules and regulations.To guarantee the smooth delivery of campaigns, you will abide by Vhoox reasonable requests and guidelines regarding the integration of Vhoox's products with your systems.
Unless specifically requested by the brand in writing to Vhoox or its staff, our affiliated brands and partners provide Vhoox with the content and creative to carry out the campaign advertising promotions. Campaign creatives and content are entirely the responsibility of the brands connected to Vhoox, who also ensure that they adhere to industry standards and relevant laws and regulations. Additionally, they guarantee that the content does not violate any third-party rights, such as those related to intellectual property, data privacy, or other legal rights.
Vhoox only serves as a platform for the campaigns. Our contribution is restricted to supplying the Vhoox platform's technology backbone for campaign delivery. Bring our partners (SSPs, DSPs, and Publishers) close with our clients to execute campaigns and bringing in the best delivery partners. The campaign material is not our responsibility, nor are we in charge of its preparation or approval. Any particular role that Vhoox plays in the content production process needs to be explicitly stated in writing by the brand.

Vhoox does not, therefore, guarantee the privacy of the data stored on its servers or the impenetrability of its security measures. To the fullest extent permitted by law, Vhoox disclaims all duty for security flaws on the WEBSITE and/or the Vhoox platform, as well as any resulting repercussions. Additionally, you acknowledge that this Agreement, the Privacy Policy, and any other attachments that are hereby incorporated into this Agreement by reference, as well as any other communications pertaining to the subject matter of this Agreement, constitute the entire and exclusive statement of the Agreement between you and Kargo and supersede any other proposals or prior agreements, whether written or oral. The validity of this agreement will not be impacted if any of its provisions are determined to be unenforceable; it will continue to be valid and enforceable in accordance with its terms.
This agreement may be terminated by either party with prior notices discussed mutually via communications between the parties. Unless otherwise noted in writing, all rights and duties pertaining to current campaigns shall end with termination.
You consent to indemnify and hold Vhoox harmless from any claims, damages, or liabilities resulting from or related to the promotional methods used in the campaigns, so long as those claims are related to content-related disputes, violations of intellectual property rights by the campaign's affiliated brands, or violations of applicable laws.
We strive to keep our services and procedures simple and straightforward since we detest disagreements and issues. We also do everything in our power to resolve them amicably, without any difficulties or legal issues. You and Vhoox agree that any dispute arising in connection with these Terms shall be settled through binding arbitration in order to settle disagreements between you and Crea8ivety as quickly and affordably as possible. A sole arbitrator is chosen by both parties to hear the case, consider it, and decide on a solution. Any disagreement regarding the meaning, applicability, or enforceability of this legally binding arbitration agreement may only be settled by the arbitrator. In the event that the parties cannot agree upon a sole arbitrator, the High Court of Gurugram will appoint one in accordance with Section 11 of the Arbitration and Conciliation Act, 1996, upon request from any of the parties. By signing these terms, you and Creativey acknowledge and agree that you are each giving up the right to a jury trial or to take part in a class action.
Any individual or organization wishing to pursue arbitration must first send a written notice of the dispute to the company via a certified delivery channel, signed (if the company is sending a notice, the stamp is required), to the Vhoox address, which is #425, 2nd Floor, Vipul Trade Centre, Sector-48, Sohna Road, Gurugram-122018. Any contact information, including an email address or mailing address, that you give us may be used to send you notices. Make sure the notification clearly explains the nature of the claim or disagreement and its foundation. Clearly state the claim or solution that is being sought. Although Vhoox will try to reply to the notice as soon as possible, there may be unanticipated circumstances that cause it to be postponed for an additional sixty to ninety days. Although we anticipate that both parties will attempt in good faith to settle the dispute directly, Vhoox or the customer/client may initiate an arbitration procedure if the parties are unable to agree to do so within thirty days of receiving the Notice of Arbitration. Unless both parties agree otherwise in writing, all arbitration proceedings shall be kept confidential. The arbitrator must not be informed of the amount of any settlement offer made by you or Vhoox during the arbitration until after the arbitrator has rendered a final decision and, if applicable, awarded a settlement.
